Terms of Service

Last updated: June 2025

1. Acceptance of Terms

By creating an account or otherwise accessing OfferBook ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. Users under 18 must have permission from a parent or legal guardian. If you are a student-athlete, you represent that your use of the Service complies with your school's and the NCAA's rules and policies, including current NIL regulations. OfferBook does not provide compliance monitoring services.

3. Account Registration and Security

You agree to provide accurate, current, and complete information during signup and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. The OfferBook Marketplace

OfferBook is a technology platform that connects NCAA basketball athletes, schools, collectives, and agents. We do NOT:

  • employ or represent any athlete, school, or agent;
  • guarantee the completion, quality, or legality of any offer, contract, or transaction between users;
  • provide legal, financial, tax, or NIL-compliance advice;
  • process actual payments between athletes and schools/brands in Version 1 of the platform.

All offers, counter-offers, contracts, and agreements are strictly between the users involved. OfferBook is not a party to any agreement between users.

5. User Content

You retain ownership of any content you upload to the Service (profile photos, highlight videos, documents, roster URLs, statistics, etc.). By uploading content, you grant OfferBook a worldwide, royalty-free, non-exclusive license to display that content within the Service to authorized users. You represent that you own or have the necessary rights to upload the content and that it does not violate any third party's rights.

6. AI Features (Valuations, Extractions, Assistants)

Certain features use large language models (LLMs) and vision models to generate estimates, extract public information, or produce written content. All AI outputs are:

  • estimates or approximations, not guarantees;
  • subject to error, hallucination, or omission;
  • not a substitute for professional advice.

In particular, NIL Valuations produced by OfferBook are educational estimates. They are not appraisals, contracts, or guarantees of market value.

7. Verification (KYP)

OfferBook offers a "Know Your Player" (KYP) verification feature that uses AI to cross-check profile information against publicly available roster pages. A ✓ Verified badge does not constitute a legal identity check, background check, or endorsement by OfferBook, the athlete's school, or the NCAA.

8. Prohibited Conduct

You agree not to:

  • impersonate any person or misrepresent your identity, athletic accomplishments, or eligibility;
  • harass, threaten, or discriminate against any user;
  • upload defamatory, obscene, or otherwise unlawful content;
  • scrape, mine, or otherwise extract data from the Service without written permission;
  • attempt to gain unauthorized access to any account, server, or system;
  • use the Service to violate NCAA rules, state NIL laws, or federal law;
  • bribe, threaten, or unduly influence any athlete, coach, or agent using the Service.

9. Fees and Financial Terms

Signing up for OfferBook is free. Certain premium features (currently including finalized deal facilitation) charge a platform fee disclosed at the point of purchase. Fees are non-refundable except where required by law.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms, at our sole discretion. You may delete your account at any time; deletion removes your profile from the Service, but records of completed transactions and audit logs may be retained as required by law.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

OfferBook does not warrant that any offer will be honored, that any athlete will be recruited, that any deal will close, or that any statistic, ranking, or valuation is accurate.

12. Limitation of Liability

To the maximum extent permitted by law, OfferBook and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim arising out of the Service is limited to the greater of (a) $100 USD or (b) the amount you paid us in the twelve months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless OfferBook, its affiliates, officers, employees, and agents from any claims arising out of your use of the Service, your content, or your violation of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which OfferBook's principal office is located, without regard to conflict of law rules. Any dispute arising out of these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration in that state, on an individual (not class) basis.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes means you accept the new Terms.
